Citigroup accesses capital markets funding through two primary issuing entities: Citigroup Inc. and Citigroup Funding Inc. (CFI). Citigroup Inc. (Aa3/AA-/AA-) is the parent entity and typically borrows for general corporate purposes. Citigroup Inc. issues senior and subordinated debt (generally in the format of underwritten, term offerings), as well as capital securities. CFI, under the guarantee of Citigroup, issues medium-term and structured notes as well as commercial paper (CP). Proceeds of term borrowings are typically used for the benefit of Citigroup’s broker/dealer subsidiaries; CP proceeds are used for Citigroup’s general corporate purposes.
